Shareholders are advised that the Company is currently finalising its audited Group financial results for the year ended 31 December 2022.
In line with section 5.4d of the Listing Requirements of the Botswana Stock Exchange (“BSE”), an issuer must publish a cautionary announcement as soon as they are satisfied that a reasonable degree of certainty exists that the financial results for the period to be reported upon next, will differ by at least 10% from the financial results reported for the previous corresponding period.
Results Announcement In Respect Of The New Note Issue, Under The BWP500 000 000 Medium Term Note Programme
The Company advises that, pursuant to private placement in respect of the issue of
RDC-CRB-1223-05 Notes:
(1) Notes in an aggregate nominal value of BWP 100,600,000 have been taken up by
subscribers therefor.
(2) The interest rate which applies is a fixed rate.
(3) The percentage interest rate is 8.75%.
(4) Interest is payable on the 9
th day of June and 9th day of December each year.
(5) The Issue Date is 9 December 2022.
(6) The Maturity Date is 9 December 2023.

This Applicable Pricing Supplement must be read in conjunction with the Programme Memorandum, dated 11 October 2018, prepared by the Issuer in connection with the RDC Properties Limited BWP500,000,000 Medium Term Note Programme (“the Programme Memorandum”), and the Supplementary Programme Memorandum, dated the 27th day of September 2021, as amended and/or supplemented from time to time (“Supplementary Memorandum”).
